Confidentiality Agreement - 226 Kings Highway East & 735-737 Villa Avenue, Fairfield, CT

This document will serve as a Confidentiality and Nondisclosure Agreement concerning the above-referenced property. I hereby agree as follows:

  1. Genuine Interest. I am genuinely interested in purchasing the Property, and I am not a broker or agent representing a potential buyer.
  2. Permitted Use. I will use the confidential information solely for purposes of evaluating the Property for purchase.
  3. Confidential Information. I acknowledge that all confidential information and materials furnished from the Property Owner or Angel Commercial, LLC, concerning the Property may not be used for any purpose other than my evaluation for a possible purchase. Access to any information furnished to me will be limited to attorneys, accountants, financial representatives, and business advisors directly involved with the Property. Any information shall not be disclosed to any employee or consultant unless they agree to execute and be bound by this Agreement.
  4. Nondisclosure. I agree not to disclose to any other person or business entity that any discussion or negotiations are taking place concerning the Property, including any business located therein, or the actual or potential terms, conditions, or facts involved in any such discussions or negotiations.
  5. Discretion. I agree not to contact the Property Owner or business employees, suppliers, or customers except through Angel Commercial, LLC. I further agree not to circumvent or interfere with Angel Commercial’s listing agreement with the Owner in any way.
  6. Binding Effect. This Agreement shall be governed and construed in accordance with the laws of the State of Connecticut. It shall survive the termination of this Agreement and Receiving Party’s duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a trade secret or until Disclosing Party sends Receiving Party written notice releasing Receiving Party from this Agreement, whichever occurs first.
  7. Cost of Enforcement. I agree that the Property Owner will have no adequate remedy at law if I violate any of the terms of this Agreement. In such event, the Property Owner will have the right, in addition to any other right, the Property Owner may have, to seek injunctive relief to restrain any breach or threatened breach by us or specific enforcement of such terms.
  8. Warranty. The Property Owner has endeavored to include information that they believe to be relevant for helping me evaluate the Property for possible purchase. I acknowledge that the Property Owner and Angel Commercial, LLC, do not make any representation or warranty as to the accuracy or completeness of this information. I agree that the Property Owner and their respective affiliates or agents shall not have any liability due to my use of this information. It is understood that I am expected to perform and are responsible for such due diligence investigations and inspections of the Property, including investigation of any environmental conditions, as I deem necessary or desirable and as permitted by an agreement with the Property Owner.
  9. Reproduction Prohibited. I will not make any copies, publish, or distribute any confidential information supplied to me by Angel Commercial, LLC, or the Property Owner. At the conclusion of any discussion, negotiation, or upon demand by Angel Commercial, LLC, or the Property Owner, all information including notes, photographs, financial statements, or any other details released to me shall be returned to Angel Commercial, LLC, and I will permanently delete any digital copies from all electronic devices and the cloud.
  10. Evaluation Material. Regardless of whether I decide to proceed with the purchase of the Property, I shall promptly provide the Property Owner with electronic copies of any written assessment, report, test, or documents resulting from any investigation of the Property that I may procure. These shall be paid for in full by me before delivery with ownership thereof assigned to the Property Owner.
  11. Exclusivity: I agree that I have dealt with no broker or agent other than Angel Commercial, LLC, in any discussions involving the Property.
